Terms of Service

These Terms of Service (“Terms”) govern your engagement with SYPP (“we,” “our,” or “us”) for the rental, lease, or purchase of SYPP Cloud Bar units, including optional Cloudtender staffing and terpene-based supply services. By working with SYPP, you agree to the terms below.

1. Scope of Service
SYPP offers Cloud Bar units for short-term rentals, long-term leases, or full purchase, with optional support including professional Cloudtenders and terpene-based flavor supplies. Installations are tailored to your venue or event, with both standard and customized configurations available.

2. Use of the Cloud Bar
Clients agree to operate the Cloud Bar in accordance with all local, state, and federal laws. The Cloud Bar is designed to deliver non-intoxicating, non-nicotine, fully compliant sensory experiences. It is not to be used with any controlled substances or unauthorized modifications.

SYPP also offers fully compliant hemp-derived or CBD-based options upon request and subject to local regulatory approval. These offerings are formulated in compliance with the 2018 U.S. Farm Bill, containing no more than 0.3% Δ9-THC on a dry weight basis and derived from federally legal hemp sources.

3. Age Restriction – 21+ Only
SYPP services and products are strictly intended for adults 21 and over. Clients are responsible for ensuring age-appropriate access and ID verification at all activations or installations.

4. Not a Tobacco Product / FDA Disclosure
The SYPP Cloud Bar is not a tobacco product, not a nicotine product, and not classified as an Electronic Nicotine Delivery System (ENDS) by the FDA. It is a sensory engagement device using terpene or botanical-based aromatic formulations and does not deliver nicotine or tobacco derivatives. No health claims are made or implied.

5. Payment Terms
All pricing, payment terms, and billing cycles will be detailed in your agreement. Late payments may result in service delays or additional fees.

6. Delivery, Setup & Operation
SYPP coordinates delivery, setup, and training to ensure seamless integration into your venue or event. Clients must ensure access, power, and safe operating conditions on-site.

7. Optional Cloudtender Services
When selected, SYPP provides professional Cloudtenders to staff the Cloud Bar. Clients must provide a safe, legally compliant environment and hospitality-standard working conditions.

8. Insurance & Liability
SYPP and its suppliers maintain comprehensive liability coverage. However, we strongly recommend that all clients carry their own venue or event insurance to cover any location-specific risks.

SYPP is not liable for:

  • Misuse or unauthorized modifications
  • Accidents due to site hazards or third-party negligence
  • Improper staffing or violations of use guidelines

Clients agree to indemnify and hold SYPP harmless for claims arising from such circumstances.

9. Ownership & Intellectual Property
All Cloud Bar hardware, terpene formulations, design systems, and brand assets remain the intellectual property of SYPP unless explicitly transferred in writing.

10. Cancellations & Refunds
Cancellation terms are outlined in your service agreement. Short-notice cancellations (within 14 days of activation) may be subject to penalties or non-refundable fees.

11. Force Majeure
SYPP is not responsible for non-performance due to events beyond our control, including but not limited to extreme weather, supply chain delays, labor disruptions, or governmental restrictions.

12. Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles.
